By using this website (the "Site"), (the Site are collectively, "Platform") or otherwise receiving the KadaiRuncit.com service, which includes processing and delivery of product orders (the " KadaiRuncit.com Service"), you signify your acceptance of these terms and conditions of use ("Terms of Use"), and the Privacy Policy. If you do not agree to all of these Terms of Use, and the Privacy Policy, do not use this Platform.

KadaiRuncit, ("KadaiRuncit.com ") may revise these Terms of Use at any time. Your continued usage of this Platform will mean you accept those changes, and you will comply with all applicable laws and regulations. The materials provided on this Platform are protected by law, including, but not limited to, Brunei Darussalam copyright laws and international treaties

Use Restrictions

The content on this Platform, such as text, graphics, interfaces, images, photographs, illustrations, trademarks, trade names, service marks, logos, software, information obtained from KadaiRuncit licensors, and other materials ("Contents") is protected by copyright under both Brunei Darussalam and foreign laws. "KadaiRuncit", all KadaiRuncit logos, and all titles, characters, names, graphics, and button icons are service marks, trademarks, and/or trade dress of KadaiRuncit or otherwise proprietary to KadaiRuncit and may not be used by you for any reason other than as expressly permitted. All other trademarks, service marks, product names, and company names or logos appearing in the KadaiRuncit Service and on the Platform are the property of their respective owners and you do not acquire any ownership rights in such marks, logos, or names by using the Platform or the KadaiRuncit Service. Title to the Contents remains with KadaiRuncit. Any use of the Contents not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws. Except as stated herein, none of the Contents may be copied, reproduced, distributed, republished, downloaded, modified, displayed, posted or transmitted in any form or by any means without the prior written permission of KadaiRuncit or its licensors.

KadaiRuncit authorizes you to view and download a single copy of the Contents solely for your own lawful, personal, non-commercial use if you include the following copyright notice: "Copyright © 2017, KadaiRuncit.com. All rights reserved" and retain other copyright and proprietary rights notices which were contained in the Contents. Any special rules for the use of other items provided on the Platform may be included elsewhere within the Platform and are incorporated into these Terms of Use by reference. The use of the Contents on any other Platform or in a networked computer environment for any purpose is prohibited. All rights not expressly granted herein are reserved to KadaiRuncit and its licensors. If you violate any of these Terms of Use, your permission to use the Contents automatically terminates and you must immediately destroy any copies you have made of any portion of the Contents.

You may not, without KadaiRuncit's written permission, "mirror" any Contents contained in this Platform or any other server. You may not use the Platform for any purpose that is unlawful or prohibited by these Terms of Use. You may not use the Platform in any manner that could damage, disable, overburden, or impair the Platform, or interfere with any other party's use and enjoyment of the Platform. You may not attempt to gain unauthorized access to the Platform through hacking, password mining or any other means. KadaiRuncit reserves the right, in its sole discretion, to terminate your access to the Platform, or any portion thereof, at any time, for any reason or for no reason at all, without prior notice or any notice.

User Submissions

The personal information you submit to KadaiRuncit is governed by the KadaiRuncit Privacy Policy. To the extent there is an inconsistency between the Terms of Use and the Privacy Policy, the Privacy Policy shall govern.

Except as provided under Submission of Ideas (below), KadaiRuncit does not claim ownership of any information or material a user provides to KadaiRuncit or posts, uploads, input, submits, or transmits to this Platform ("Submission"). You agree that you will not make any Submission that is, in whole or in part, libelous; scandalous; inflammatory; discriminatory; defamatory; false; threatening; vulgar; obscene; pornographic; profane; abusive; harassing; invasive of another's privacy; hateful or bashing; aimed at gender, race, color, sexual orientation, national origin, religious views, or disability; in violation of local, state, national, or international law; or that infringes on, or violates, any right of any party. Additionally, you agree that you will not: (a) make any Submission that is an advertisement or solicitation of business; (b) disrupt the normal flow of dialogue or make a Submission unrelated to the topic being discussed (unless it is clear the discussion is free-form); (c) post a chain letter or pyramid scheme; impersonate another person; (d) distribute viruses or other harmful computer code; (e) harvest or otherwise collects information about others, including email addresses, without their consent; (f) post the same note more than once or "spamming"; or (g) engage in any other conduct that restricts or inhibits any other person from using or enjoying the Platform, or which, in the judgment of KadaiRuncit, exposes KadaiRuncit or any of its licensors, partners, or customers to any liability or detriment of any type.

By making a Submission, you agree that such Submission is non-confidential, non-proprietary, and may be disseminated or used by KadaiRuncit. If you make a Submission, you automatically grant—or warrant that the owner of such content has expressly granted— KadaiRuncit a royalty-free, perpetual, irrevocable, worldwide nonexclusive license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the Submission in any media or medium, or any form, format, or forum now known or hereafter developed. Notwithstanding the foregoing, KadaiRuncit is not required to use any Submission.

You are solely responsible for your Submission, the consequences of making a Submission, and your reliance on any Submissions. KadaiRuncit is not responsible for the consequences of any Submission. KadaiRuncit is not responsible for screening or monitoring Submissions made to this Platform by users. If notified by a user of a Submission allegedly in violation of these Terms of Use, KadaiRuncit may investigate the allegation and determine in good faith and its sole discretion whether to remove such Submission. KadaiRuncit will have no liability or responsibility to users for performance or nonperformance of such activities.

KadaiRuncit reserves the right (but is not obligated) to: (a) record the dialogue on the Platform; (b) investigate an allegation that a Submission does not comply with these Terms of Use and determine in its sole discretion to remove or request the removal of the Submission; (c) remove Submissions which are abusive, illegal, disruptive, or outdated, or that otherwise fail to comply with these Terms of Use; (d) terminate a user,s access to any or all parts of the Platform upon any breach of these Terms of Use or the law; (e) monitor, edit, or disclose any Submission; (f) edit or delete any Submission posted on the Platform, regardless of whether such Submission violates these Terms of Use.

Access to the KadaiRuncit Service

You will provide all equipment and services and be responsible for all data, telephone and other charges necessary to access the KadaiRuncit Service and the Platform. You agree to comply with all laws applicable to your activities on the KadaiRuncit Platform and with the terms of this Agreement. You hereby represent that you are an adult (18 years or older) and have the power and authority to enter into this Agreement and perform your obligations hereunder.

You acknowledge that from time to time the KadaiRuncit Service or this Platform may be inaccessible or inoperable for any reason, including, without limitation: (i) equipment malfunctions; (ii) periodic maintenance procedures or repairs which KadaiRuncit may undertake from time to time; or (iii) causes beyond the control of KadaiRuncit or which are not reasonably foreseeable by KadaiRuncit.

Submission of Ideas

KadaiRuncit policy is to not accept or review unsolicited ideas or suggestions from persons outside the company. Notwithstanding such policy, any ideas, suggestions, know-how, or concepts that are offered or communicated to KadaiRuncit through this Platform or otherwise shall be the property of KadaiRuncit, and may be treated by KadaiRuncit as non-confidential information. KadaiRuncit shall have the unrestricted right to use and disclose such ideas, suggestions, know-how or concepts for any purpose without compensation or obligation to any party.

Order, Pricing & Payments

1.Delivery Areas (need to change depending on our online website)

At present, KadaiRuncit delivers to most areas in Brunei Darussalam, but not certain areas.

You may also contact us at ([email protected]) to check on our delivery coverage. KadaiRuncit will only process and accept orders within our delivery coverage.

2.Orders

     2.1.All order maybe by you shall be deemed to be an offer made by you to purchase the selected products(s) and quantities set out in your order upon these Terms of Use. All orders shall be subject to acceptance by KadaiRuncit. Processing of payment for an order shall not in itself constitute acceptance of the order by KadaiRuncit, provided that where an order for any product(s) is rejected or cancelled by KadaiRuncit, any payment made for such order shall be reversed or refunded by KadaiRuncit in accordance with our prevailing refund policy at such time.

     2.2.All orders made by you are subject to stock availability. KadaiRuncit reserves the right to cancel, amend or reject your order in whole or in part, at any time and without liability or compensation, where any products is out of stock, damaged or spoilt, or unavailable for any other reason. KadaiRuncit reserves the right to limit your order or the quantity of a particular product you may order.

3.Product Information, Pricing and Payment

     3.1. KadaiRuncit endeavours to provide you with accurate and up to date pricing, products and promotional information. However, errors may sometimes occur and we do not guarantee that the pricing, images, or other product or promotional information provided all be accurate, reliable, current, error-free, updated, or complete. You agree that KadaiRuncit shall not be liable for any errors in the pricing and products or promotional information listed on our Site, App or through our Services. The price to be paid by you shall be based on our prevailing selling price at the time we receive your order, which may or may not be correctly reflected on the Site, App or through our Services. If a product offered by KadaiRuncit itself is not as described, your sole remedy is to return it in   unused condition.

     3.2.Where the actual price of any product is dependent on its weight (“Weighed Item”), we will provide an estimate of the price based on indicated weight and our current prevailing rates at the time of checkout.  The actual weight and related price of the Weighed Item will be made known to you at the time of delivery and:

          3.2.1.In the event of any shortfall in payment, we reserve the right to charge you for the additional amounts; and

          3.2.2.In the event of any overpayment, we will reserve or refund the excess amounts paid for such item in accordance with our prevailing refund policy at the time of delivery.

          3.2.3.All product prices are shown in Brunei Dollars and are inclusive of Goods and Services Tax (if any). Prices of products may change from time to time and any promotional discounts or offers may also be withdrawn at any time without notice.

     3.3.Payment for all orders shall be made in Brunei Dollars.

     3.4.We accept payment for orders by MasterCard, Visa, Amex & Cash on Delivery. Payment methods accepted by KadaiRuncit is subject to change. KadaiRuncit is unable to accept paper checks, food stamps, or third-party coupons.

     3.5.By placing your order, you authorise us to transmit information or to obtain information about you from third parties from time to time and this may include verification checks involving your debit or credit card number or credit reports in order to authenticate your identity, to validate your credit card, to obtain an initial credit card authorisation, to protect you and us from fraud, and to enable us to arrange delivery of your order to your nominated delivery address.

Promotions, Voucher Code and other Privileges and Programmes

1.From time to time KadaiRuncit may run promotions, contests, surveys, privileges and other programmes, subject to additional terms and conditions, which can be found on the site and are hereby incorporated by reference into these Terms of use.

2.Promotions, contest, privileges, and programmes are only valid for the time period specified by KadaiRuncit and while stock last basis. No compensation or cash will be offered in the event that promotion is no longer in stock.

3.The following terms shall apply to the use of credit, vouchers, coupons and codes (“Voucher Codes”)

     3.1.Each Voucher Code is only eligible for a single use and is only valid for the time specified by KadaiRuncit.

     3.2.Vouchers Code may only be redeemed by purchasing certain products from KadaiRuncit during the applicable validity period. Unless otherwise stated, Voucher Codes will apply on certain listed on the Voucher Code.

     3.3.Use of any Voucher Code must be indicated at the time of checkout, and all information required by KadaiRuncit must be provided. No retroactive use of the Voucher Code is permitted.

     3.4.Voucher Codes cannot be used in conjunction with any other promotion, voucher, coupon, code or offer, including but not limited to discounted sale items, unless otherwise stated,

     3.5.A minimum spend may be required before use of the Voucher Code is permitted.

     3.6.Voucher Codes cannot be refunded, redeemed or exchanged for cash.

     3.7.Resale, transfer and sharing of Voucher Codes are strictly prohibited. In spite of the above, gift vouchers, if offered by KadaiRuncit, may be purchased by you and given to others.

     3.8.No reproduction, alteration, adaptation, tampering, distributing, publication, broadcast or other communication or dissemination of Voucher Codes is allowed.

     3.9.Voucher Codes are non-replaceable if lost, stolen, destroyed, duplicated, tampered with or otherwise misappropriated or fraudulently used.

     3.10. KadaiRuncit reserve the right to verify the validity of any Voucher Code and to declare null and void and charge full price for items purchased, any Voucher Code that in our opinion has been stolen, duplicated, tampered with, or which is suspected to have been misappropriated or fraudulently obtained or used.

     3.11. KadaiRuncit reserves the right to vary or impose such other terms and conditions, as we deem appropriate from time to time by posting the varied terms and conditions on the Site or through the App.

4.Where any free gift is offered as part of a promotion, the free gift is offered on a “first come first serve” basis and while stocks last basis. No cash or credit will be offered in lieu of the gift.

5.Where you are permitted to return any product to KadaiRuncit for a refund/credit and such product was originally purchased under a promotion or discount, you will only be refunded the amount that you originally paid for such product.  Where the promotion or discount had applied to the entire order, we will refund you the selling price of the returned product less the promotion or discount applied to the returned product on a pro-rata basis.  Further, any free promotional gift given with an order must also be returned if you are returning the product(s) to which the gift related.  If the total order value is reduced below the value of the qualifying free delivery or any promotion qualification because of a returned item, KadaiRuncit may charge the delivery fee and/or the full value of the order without the promotion.

6. KadaiRuncit’s decision on all matters relating to promotions, discounts, Voucher Codes and other privileges is final and binding.

7. KadaiRuncit reserves the right to discontinue any promotion, discount, Voucher Code programme, contest, privileges or programme at any time without notice or liability.

Deliveries & Return

1.Deliveries

      1.1.Delivery slots are subject to availability

      1.2.Bulk orders may be subjected to a different delivery cost and may require a longer delivery time to be fulfilled. “Bulk order” means an order for any product that comprises quantities of beyond 30 units, unless otherwise stated in writing by KadaiRuncit.

     1.3. KadaiRuncit will endeavour to deliver the products to your delivery address within the delivery time frame selected by you, but does not and cannot guarantee that the delivery time frames will be met as there may be factor outside of our control which may result in early or delayed deliveries such as weather, traffic, haze, etc. You agree that KadaiRuncit shall not be liable for any deliveries made outside the delivery time frame. If your designated delivery location is inaccessible, rendering us unable to make the delivery, we will contact you to determine the best alternative location and/or date.

     1.4.Please notify KadaiRuncit immediately of any change to your delivery address, date or time of delivery, or contact number. Any changes in the delivery address or date or time of delivery after the submission of your order may incur an administrative charge of BND$5. 

     1.5. KadaiRuncit uses proprietary cooling systems to maintain the quality and integrity of your products. To maintain the integrity of products after delivery,  we recommend that you immediately refrigerate or free perishable items.

      1.6. KadaiRuncit aims to provide our customers more options for receiving their orders. For certain deliveries, KadaiRuncit provides the option for having your orders left at your doorstep as an “Unattended Delivery”. Please note that some orders won't be eligible for Unattended Delivery and no one is available to accept delivery of the order, the Driver will leave you order unattended on or in front of your premises. While we encourage you to retrieve your groceries as soon as possible once delivered, our packaging is designed to maintain the correct temperature of your products for up to 1 hour after the end of your delivery window. Where you specifically instruct KadaiRuncit to leave your delivery outside the door of the specified delivery address, such delivery (including unattended alcohol) shall be at your sole risk and you accept all liability and risk of loss, theft, and damage.  For all other deliveries, please arrange for someone to receive the delivery and sign off the delivery invoice or device.

      1.7.If an order is cancelled, or if no one is at the delivery location to receive the order during the chosen delivery slot, KadaiRuncit reserves the right to charge a restocking fee equal to the sum of (1) 100% of the total dollar value of your perishable items (since our perishable items are custom-ordered and guaranteed fresh) plus (2) a re-delivery or cancellation fee of BND$ 5.00

      1.9. KadaiRuncit delivers case sizes of a variety of different goods, including laundry detergent, beverages, rice, etc.  Given the heavy weight of some of these products, and our concern for the health of our drivers, we have purchase limits on a variety of these items on our web site.  Also in the interest of safety, we do not deliver to walk-ups (a building without an elevator) about the 5th floor, or deliver more than 3 cases of beverages about the 4th floor.  In the event of a broken elevator, we also do not ask our drivers to carry groceries more than 5 floors.  Our technology cannot, and does not, enforce these limits.  We ask our customers to abide by these service limitations, as we may limit deliveries when orders exceed these requirements.  Again this limitation exists only to protect the health of our delivery staff.  We appreciate your understanding and cooperation.

2. Returns

      2.1.We ask that you please check your order upon delivery. If you’re not completely happy with your fresh or perishable products, let us know within 24 hour from your delivery time and we’ll provide an exchange for the products. KadaiRuncit at its sole discretion, will offer a replacement of the damaged or incorrect product(s), or arrange for the re-delivery, collection and/or return of the incorrect product(s).

      2.2.We ask that all returned products are not used or expired, and in the original box and/or packaging. KadaiRuncit reserves the right, but has no obligation to, inspect the returned product and to determine whether the product was rightfully returned in accordance with this paragraph. Where KadaiRuncit exercises its right to inspect the Product, KadaiRuncit decision in respect of such returned products shall be deemed final and binding on you.

Liability of KadaiRuncit and Its Licensors and Partners

The use of the Platform or the Contents is at your own risk. The Contents in this Platform could include technical inaccuracies or typographical errors. KadaiRuncit may make changes or improvements at any time.

YOU EXPRESSLY AGREE THAT USE OF THE KADAIRUNCIT SERVICE, THE PLATFORM, AND THE INTERNET IS ENTIRELY AT YOUR OWN RISK. THE KADAIRUNCIT SERVICE, THE PLATFORM, AND ITS CONTENTS ARE PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, KADAIRUNCIT DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE KADAIRUNCIT SERVICE, THE PLATFORM, OR ITS CONTENTS OR WITH RESPECT TO ANY INFORMATION, SERVICES, AND PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE KADAIRUNCIT SERVICE; KADAIRUNCIT DOES NOT ADOPT ANY REPRESENTATION OR WARRANTY OF ANY MANUFACTURER OR MERCHANT OF ANY SUCH INFORMATION, SERVICE, OR PRODUCTS. KADAIRUNCIT MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND AS TO THE AVAILABILITY, RELIABILITY, CORRECTNESS, ACCURACY, CONTENT, OR OTHERWISE OF ANY INFORMATION, SERVICES, OR PRODUCTS OBTAINED THROUGH THE PLATFORM OR THE KADAIRUNCIT SERVICES. KADAIRUNCIT DOES NOT WARRANT THAT THE FUNCTIONS PROVIDED BY THE PLATFORM WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

NEITHER KADAIRUNCIT NOR ANY OF ITS DIRECTORS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, AGENTS, REPRESENTATIVES, JOINT VENTURE PARTIES, INDEPENDENT CONTRACTORS, THIRD-PARTY INFORMATION PROVIDERS, MERCHANTS, OR LICENSORS (COLLECTIVELY, " KADAIRUNCIT PARTIES") SHALL BE LIABLE, IN CONTRACT OR IN TORT, FOR ANY DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, COMPENSATORY, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF DATA, INCOME, OR PROFIT; OR LOSS OR DAMAGE TO PROPERTY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF, OR THE INABILITY TO USE, THE PLATFORM, THE KADAIRUNCIT SERVICE, OR THE INTERNET. KADAIRUNCITS LIABILITY SHALL BE LIMITED TO PROVIDING YOU WITH A REFUND FOR ANY PRODUCT THAT IS RETURNED. YOUR SOLE AND EXCLUSIVE REMEDY HEREUNDER SHALL BE FOR YOU TO DISCONTINUE YOUR USE OF THE KADAIRUNCIT SERVICE AND TO TERMINATE THIS AGREEMENT. KADAIRUNCIT RESERVES THE RIGHT TO LIMIT YOUR ORDER OR THE QUANTITY OF A SPECIFIC PRODUCT YOU MAY ORDER. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES OR OF IMPLIED WARRANTIES, IN SUCH STATES AND JURISDICTIONS LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Indemnity

The material in the Platform is provided for lawful purposes only. KadaiRuncit operates this Platform for use in specific jurisdictions where it provides the KadaiRuncit Services, and makes no representation that these materials are appropriate or available for use in other locations. If you use the Platform from other locations, you are responsible for compliance with applicable local laws. Price and availability information is subject to change without notice and may vary geographically.

You agree to defend, indemnify, and hold KadaiRuncit Parties harmless from any and all suits, actions, legal or administrative proceedings, claims, demands, damages, liabilities, settlements and expenses, including attorney's fees, accounting fees, and costs, arising in connection with, resulting from, or alleged to result from, your use of the Platform or Contents, or your violation of these Terms of Use.

Your Account

If you use this Platform, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password. KadaiRuncit reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

General

KadaiRuncit makes no claims that the Contents are appropriate or may be downloaded outside of the Brunei Darussalam. Access to the Contents may not be legal by certain persons or in certain countries. If you access the Platform from outside the Brunei Darussalam, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. The following provisions survive the expiration or termination of these Terms of Use for any reason whatsoever: Liability of KadaiRuncit and its Licensors and Partners, Use Restrictions, User Submissions, Submission of Ideas, Indemnity, Applicable Laws, and Complete Agreement.

Applicable Laws

This Agreement shall be governed by the laws of the Brunei Darussalam without regard to its conflict of laws rules. You expressly agree that exclusive jurisdiction for any claim or dispute with KadaiRuncit or relating in any way to your use of the KadaiRuncit Service or the KadaiRuncit Platform resides in Brunei Darussalam and you further expressly consent and agree to personal jurisdiction Brunei Darussalam in connection with any such dispute, including any claim involving KadaiRuncit Parties. Any cause of action by you must be instituted within one year after the claim or cause of action has arisen, or it shall be barred. If any provision of these Terms of Use is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any of these Terms of Use shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

Notice and Take Down Procedures

If you believe any Submission accessible on or from the Platform infringes your copyright, you may request removal of those materials (or access thereto) from this Platform by contacting KadaiRuncit (address identified below) and providing the following information:

1. Identification of the copyrighted work that you believe to be infringed. Please describe the work, and where possible include a copy or the location (e.g., URL) of an authorized version of the work.

2. Identification of the Submission that you believe to be infringing and its location. Please describe the Submission, and provide us with its URL or any other pertinent information that will allow us to locate the Submission.

3. Your name, address, telephone number, and (if available) email address.

4. A statement that you have a good faith belief that the complained of use of the work is not authorized by the copyright owner, its agent, or the law.

5. A statement that the information you have supplied is accurate, and indicating that "under penalty of perjury," you are the copyright owner or authorized representative.

6. A signature or the electronic equivalent from the copyright holder or authorized representative.
